
Jeff Clayton is a principal in the government contractor solutions practice of Baker Tilly. Jeff has been with Baker Tilly since 2005. He has more than 20 years of industry and consulting experience in both government contracting and commercial environments, providing a broad range of pricing, contract compliance and dispute/litigation related services to government contractors and their legal counsel. He frequently works with clients to support their federal market goals, to include broad organizational and compliance assessment and program development, the preparation of GSA and VA Federal Supply Schedule proposals and option exercise packages, guidance and assistance on Defense Logistics Agency (DLA) programs, Department of Veterans Affairs (VA) programs, and other agency procurements.
He assists his clients with audit package preparation, commercial item determinations and pricing support, supply chain risk management program development, contract claims, contractor self-disclosures, and to prepare economic damages analyses. Jeff has extensive experience working with contractors and their counsel during Office of Inspector General (OIG) audits, Department of Justice (DOJ) investigations, and in defense of qui tam suits brought under the False Claims Act. Jeff has also worked with contractors to identify and mitigate compliance risks, prepare cost impact analyses, and perform financial due diligence in connection with mergers and acquisitions. Jeff’s experience in these areas serves him well when he works with contractors to proactively achieve their goals in the federal market.
- Assists contractors with complex projects involving a broad range of government contract pricing and regulatory compliance matters
- Advises contractors and manages projects related to all aspects of GSA and VA Federal Supply Schedule contracting, including proposal preparation, commercial pricing and compliance strategy, contract option extensions, Trade Agreements Act compliance, Inspector General audits, and Department of Justice investigations
- Provides guidance and assistance on DLA’s EMALL and ECAT programs, and the VA Medical Surgical Prime Vendor Program, and other contracting channels
- Works with life sciences companies to navigate the complexities of the federal market, to include developing plans for companies launching drugs into the federal (DOD and VA) space, managing campaigns for favorable formulary positioning, addressing issues related to distribution, and assisting with contracting and pricing activities
- Assists contractors with go/no-go decisions and proposal efforts for large government contracts, including Governmentwide Acquisition Contracts (GWACs) like OASIS, HCaTs, CIO-SPx, and others
- Provides support for commercial product and commercial service procurements, to include the development of packages to support commercial item determinations and associated fair and reasonable pricing determinations
- Provides dispute/litigation services, including the preparation of economic damage analyses in defense of qui tam suits brought under the Federal False Claims Act, to contractors and their legal counsel
- Assists contractors and their legal counsel to prepare and present disclosures under the requirements set forth by mandatory disclosure regulations
- Provides onsite support during Office of Inspector General audits, to include managing data preparation, administering all information requests, and acting as the primary point of contact for Inspector General regional managers, audit managers and auditors
- Assesses contract compliance gaps and designs/implements policies, procedures, and corrective action plans, relying on contract administration and compliance program best practices
- Develops compliance programs to include design and implementation of day-to-day activities, internal audit plan development and execution, and policies and procedures
- Works with contractors to prepare responses to DCAA audits and prepare cost impact analyses
- Performs financial due diligence in connection with mergers and acquisitions
- Represents clients in meetings with government officials from the Office of Inspector General, Department of Justice and other federal agencies
- Works with contractors in many industries, including life sciences, healthcare, professional services, computer hardware/software, cloud services, records management, logistics, industrial equipment, engineering, retail/consumer goods, building supply, manufacturing/distribution, wholesalers and resellers, education and not-for profit entities
