Brian Corrigan is a principal with Baker Tilly’s transactional tax advisory service practice. He specializes in tax due diligence and the tax aspects of mergers, acquisitions and restructurings for a variety of public and private clients. Brian is well versed in corporate and flow-through tax planning strategies. Prior to joining Baker Tilly, Brian worked in the M&A tax practice of a Big Four firm for more than a decade.
- Advises private equity funds and public and private companies on the tax aspects of domestic and cross-border transactions including acquisitions, dispositions, spin-offs and debt restructurings
- Provides both buy-side and sell-side assistance to clients including tax due diligence, acquisition/disposition structuring, deal process preparation, review of transaction agreements, and assistance with negotiation of key tax matters and representations and warranties
- Assists corporate clients with entity rationalization, internal restructurings, analysis/management of tax basis and earnings and profits as well as complex consolidated return and IRC section 382 issues
